General Terms and Conditions (GTC) for consumers

§ 1 Scope of Application

1. These General Terms and Conditions (hereinafter "T&Cs") apply to all contracts concluded via the online shop aiersha.com, operated by Shenzhen Aiersha Technology Co., Ltd., Room 703, 7th Floor, Hongyu Building, Changyong Road, Longhua District, Shenzhen, info@aiersha.com (hereinafter "we" or "seller"), with customers (hereinafter "customer" or "you").

2. Our offer is directed exclusively at customers who have reached the age of 18. By placing an order, you confirm that you are of legal age and have the legal capacity to act.

3. Deviating, conflicting, or supplementary T&Cs of the customer will not become part of the contract, even if we are aware of them, unless their validity is expressly agreed to in writing.

§ 2 Conclusion of Contract

1. The presentation of goods in our online shop does not constitute a legally binding offer, but rather a non-binding online catalog.

2. By clicking the "Buy Now" button or a comparable button, you submit a binding order for the goods contained in your shopping cart.

3. The confirmation of receipt of your order is sent immediately after the order is submitted via an automated email. This email confirmation does not yet constitute an acceptance of your purchase offer.

4. A binding contract is only concluded when we accept your order by a separate email, in which we confirm the acceptance of the contract (order confirmation), or at the latest upon delivery of the goods.

§ 3 Prices and Shipping Costs

1. The prices stated in our online shop are final prices. They include all price components, but not the shipping costs and any taxes or duties incurred in the destination country.

2. Shipping costs are shown separately and are to be borne by the customer.

3. Important Notice for Customers in the EU:

Depending on the order value and the import regulations of your country, additional taxes, duties, or import fees may be incurred upon receipt of the goods. These costs are not included in our prices and are to be paid by the customer directly to the responsible authorities or the carrier.

§ 4 Payment Terms

1. Payment can be made via Paypal (credit card) and prepayment via bank transfer.

2. The selection of the payment method takes place during the ordering process.

3. For payment by credit card or via an online payment service provider such as PayPal, the customer's account will be debited immediately upon completion of the order.

§ 5 Delivery and Shipping

1. Unless otherwise agreed, the goods will be delivered to the delivery address you have provided.

2. The goods are usually ready for dispatch within 48 hours. Delivery takes place in 7 to 15 days after the conclusion of the contract, unless a different period has been expressly agreed. Please note that delays may occur due to international shipping processes.

3. The risk of accidental loss or accidental deterioration of the goods is transferred to you upon delivery of the goods to the carrier.

§ 6 Youth Protection

1. The sale of erotic articles is legally only permitted to persons over 18 years of age.

2. By submitting your order, you confirm that you are of legal age.

3. We reserve the right to carry out an age verification and to refuse orders if there are doubts about the customer's age.

§ 7 Right of Withdrawal for Consumers in the EU

1. Instructions on Withdrawal:

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day on which you or a third party named by you, who is not the carrier, has taken possession of the last goods. To exercise your right of withdrawal, you must inform us (Shenzhen Aiersha Technology Co., Ltd., Room 703, 7th Floor, Hongyu Building, Changyong Road, Longhua District, Shenzhen, info@aiersha.com) by means of a clear declaration (e.g., a letter sent by post or an email) of your decision to withdraw from this contract. You can use the attached sample withdrawal form, which is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send the notification of the exercise of the right of withdrawal before the withdrawal period has expired.

2. Consequences of Withdrawal:

If you withdraw from this contract, we must refund all payments that we have received from you, including the delivery costs (with the exception of the additional costs resulting from the fact that you have chosen a different type of delivery than the cheapest standard delivery offered by us), immediately and at the latest within fourteen days from the day on which we received the notification of your withdrawal from this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless something else has been expressly agreed with you. In no case will you be charged fees for this repayment. We can refuse the repayment until we have received the goods back or until you have provided proof that you have sent the goods back, whichever is the earlier date. You must return or hand over the goods to us immediately and in any case no later than fourteen days from the day on which you inform us of the withdrawal from this contract. The deadline is met if you send the goods before the period of fourteen days has expired. You bear the direct costs of returning the goods. You only have to pay for any loss in value of the goods if this loss in value is due to handling of the goods that is not necessary for checking the condition, properties and functionality of the goods.

3. Exclusion of the Right of Withdrawal:

The right of withdrawal does not apply to contracts for the delivery of sealed goods which are not suitable for return for reasons of health protection or hygiene if their seal has been removed after delivery.

§ 8 Warranty and Returns

1. Warranty: We offer a one-year warranty on our products. This warranty covers manufacturing defects and is valid from the date of shipment. It does not cover damage caused by misuse, improper handling, or normal wear and tear.

2. Returns: Due to the intimate nature of our products and for reasons of hygiene, we cannot accept returns for opened or used items. All B2B sales are considered final unless the product is defective upon receipt.

§ 9 Liability

1. We are liable without limitation for damages based on intent or gross negligence.

2. We are also liable without limitation for damages resulting from injury to life, body or health.

3. Liability for damages caused by slight negligence is excluded, except in the case of a breach of essential contractual obligations. Essential contractual obligations are those whose fulfillment is essential for the proper execution of the contract and on whose compliance the customer regularly relies. In this case, liability is limited to the typically foreseeable damage.

§ 10 Data Protection

We collect, process and use your personal data in accordance with the legal provisions. Detailed information on this can be found in our separate Privacy Policy. This must comply in particular with the requirements of the General Data Protection Regulation (GDPR).

§ 11 Final Provisions

1. The law of the People's Republic of China applies, with the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG), insofar as this is permissible. For customers residing in the EU, the mandatory consumer protection provisions of the respective EU country remain unaffected.

2. The place of jurisdiction for all disputes arising from the contractual relationship is Shenzhen, China, provided the customer is a merchant or a legal entity under public law.

3. Should individual provisions of these T&Cs be or become ineffective, this shall not affect the validity of the remaining provisions.

AIERSHA Terms and Conditions for Wholesaler

1. Eligibility and Account

This Agreement applies solely to qualified wholesale clients, distributors, and business partners. To open a wholesale account with AIERSHA, you must provide a valid business license or company registration.

2. Orders and Minimums

• Minimum Order Quantity (MOQ): Specific MOQ requirements may apply to individual products or customized sets.

• Order Acceptance: All orders are subject to AIERSHA's final acceptance.

• Custom Orders: Orders for customized packaging, private label products, or OEM/ODM designs require written confirmation, design approval, and either full payment or an agreed-upon deposit prior to the commencement of production.

• Dropshipping Services:AIERSHA supports dropshipping for qualified partners.

• Fulfillment Note: A portion of our products are stocked in our USA warehouse for faster fulfillment.

3. Pricing and Payment

• Wholesale Pricing: All prices are quoted in USD and are exclusive of Value Added Tax (VAT), shipping costs, customs duties, and bank fees, unless otherwise explicitly stated.

• Deposit Policy: Standard custom orders require a non-refundable deposit of 30-50% of the total order value prior to the commencement of production. The remaining balance must be settled in full before shipment.

• Payment Methods:AIERSHA accepts payment via bank transfer, PayPal (subject to an applicable surcharge), or other pre-approved methods.

4. Production and Lead Time

Lead Time: Estimated production times range from 7 to 30 business days, depending on product complexity and order quantity. Customers are advised to confirm specific lead times with AIERSHA prior to placing an order. Further details regarding production schedules can be discussed.

5. Shipping and Delivery

• Incoterms: Unless otherwise mutually agreed upon in writing, all shipments are Ex Works (EXW) from our facilities in Shenzhen or Guangzhou.

• Shipping Costs: The buyer is solely responsible for all freight charges, shipping insurance, import taxes, duties, and customs clearance fees.

• Damaged Goods: Any damage sustained during transit must be reported to AIERSHA within five (5) business days of receipt of goods. Claims must be accompanied by clear photographic evidence of the damage. AIERSHA reserves the right to arrange for replacement, credit, or refund at its sole discretion.

6. Returns and Warrantry

• Final Sale Policy: Due to the intimate nature of our products, all B2B sales are considered final.

• Defective Items: Any defective items must be reported to AIERSHA within seven (7) days of receipt. AIERSHA will then evaluate the claim and, at its sole discretion, may arrange for replacement, issue a credit, or provide a refund.

7. Product Compliance & Certification

AIERSHA products meet relevant certifications (e.g., CE, RoHS). A portion of our products may also meet FDA compliance. Specific certification requests can be confirmed during the quotation or sample stage.

8. Intellectual Property

All designs, logos, product names, packaging, and marketing materials associated with AIERSHA are the sole property of AIERSHA, unless a specific co-branding or licensing agreement is explicitly in place. Reproduction, modification, or unauthorized use without prior written consent from AIERSHA is strictly prohibited.

9. Marketing & Brand Representation

Authorized distributors are encouraged to utilize official images and product descriptions provided by AIERSHA. Any marketing materials, campaigns, or public representation employing AIERSHA's branding must receive prior written approval from AIERSHA.

10. Confidentiality

Both parties agree to treat all trade information, pricing, designs, and communications exchanged hereunder as confidential. Neither party shall disclose such confidential information to third parties without the prior written consent of the other party.

11. Termination

Either party may terminate this agreement upon 30 days' written notice to the other party. Upon termination, all existing obligations must be fulfilled, and any outstanding payments settled in full.

12. Limitation of Liability

AIERSHA shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of business, business interruption, or reputational harm, arising out of or in connection with this agreement or the use of its products.

13. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of Shenzhen Aiersha Technology Co., Ltd., Room 703, 7th Floor, Hongyu Building, Changyong Road, Longhua District, Shenzhen, China. Any dispute shall be subject to the exclusive jurisdiction of the courts located in [Shenzhen Aiersha Technology Co., Ltd., Room 703, 7th Floor, Hongyu Building, Changyong Road, Longhua District, Shenzhen, China.
